Software Implementation, Subscription, Support & Commercial Terms and Conditions

Please read these terms carefully before proceeding with your implementation.

Note: These are the standard software and implementation terms provided by AiPSoft and your Selected Partner. If any additional commercial terms, SLAs, or specific privacy policies apply to your specific proposal, the Selected Partner will provide them to you separately.

1. Project Scope & Implementation

1.1 Scope of Implementation

The implementation includes the installation, configuration, deployment, system setup, and user training strictly for the software modules listed in this proposal. Any feature, report, module, workflow, customization, integration, or functionality not expressly mentioned is considered outside the project scope and requires a separate quotation.

1.2 Standard Software Configuration

Implementation covers the configuration of the software according to standard AiPSoft business workflows included in the purchased package. Business process changes, custom workflows, additional reports, or modifications beyond the standard software are not included unless explicitly stated.

1.3 Data Migration

Where data migration is included, only agreed file formats and data structures will be imported. Data cleansing, correction, restructuring, duplicate removal, manual data entry, or third-party data conversion are not included unless specifically stated.

1.4 WhatsApp CRM Implementation

If included in the proposal, the Selected Partner will provide:

  • WhatsApp CRM software setup.
  • Assistance with Meta Business Manager onboarding, WhatsApp Business Account linking, and Profile configuration.
  • Guidance for Meta Business Verification (where applicable).
  • Assistance with WhatsApp Message Template submission and approval.
  • Creation of the standard Laundry Pickup & Delivery chat flow integrated with the POS software.
  • Initial user training on the CRM portal, including sending invoices, payment links, notifications, and using the standard CRM features provided with the purchased package.

WhatsApp message charges, Meta conversation charges, and any third-party messaging fees are not included unless specifically mentioned in this proposal.

1.5 Services Not Included

Unless separately quoted, this proposal does not cover: AI chatbot implementation, AI customer reply configuration, AI prompt engineering, AI workflow/automation development, AI knowledge base creation, campaign creation/management, customer conversation handling, marketing consultation, or third-party chatbot integration.

1.6 AI API & Token Usage

Unless specifically included as a line item in this proposal, AiPSoft and the Selected Partner do not provide API keys (OpenAI, Google AI, Anthropic), Meta AI services, Azure OpenAI Services, third-party AI subscriptions, AI tokens, usage credits, or LLM hosting services. Any AI subscription, API usage charges, or third-party AI costs remain the sole responsibility of the customer.

1.7 Future AI Pricing

Any future increase in AI API pricing or third-party subscription fees shall be borne by the customer.

2. Delivery, Training & Acceptance

2.1 Delivery & Implementation Timeline

Implementation, installation, configuration, user setup, and standard training will normally be completed within 3–4 business days after:

  • Purchase Order (PO/LPO) confirmation.
  • Receipt of the agreed advance payment.
  • Availability of required hardware, internet connection, and customer information. (Note: Customizations or additional development will require a separate implementation schedule.)

2.2 Customer Responsibilities

To prevent delays, the customer must provide:

  • A stable internet connection.
  • Required hardware, network infrastructure, and access to computers/devices.
  • Company information, required documents, and necessary approvals.
  • A designated project coordinator. Delays caused by missing infrastructure, approvals, or information may extend the timeline.

2.3 User Training

Comprehensive training is provided upon deployment, covering daily software operations, billing & invoicing, reporting, administration, user management, and standard operational procedures. Additional training requested after project completion may be chargeable.

2.4 Go-Live Support

The Selected Partner will assist during the initial go-live period to ensure a successful deployment and smooth transition to live operations.

2.5 Project Completion & Acceptance

The implementation is considered complete when software installation and configuration are finished, training is provided, and the customer begins live operations. Unless written issues are reported within 7 business days, the implementation shall be deemed accepted.

2.5.1 User Acceptance Testing (UAT)

The customer is responsible for verifying that the software meets their operational requirements during implementation and training. Once the customer begins live operation or does not report any implementation issues within seven (7) business days after project completion, the implementation shall be deemed fully accepted.

2.6 Change Requests (CR)

Any work outside the approved proposal requires a separate Change Request, customer approval, an additional quotation, and a separate LPO where applicable.

3. Cloud Services & Third-Party Platforms

3.1 Cloud Software & Internet Dependency

AiPSoft is a cloud-based solution requiring a stable internet connection. We are not responsible for service interruptions caused by ISPs, customer networks, firewalls, power failures, cloud providers, or force majeure events.

3.1.1 Internet Performance

The customer is responsible for maintaining adequate internet speed, network stability, firewall configuration, and internal network infrastructure required for the proper operation of the cloud software. AiPSoft and the Selected Partner shall not be responsible for performance issues caused by insufficient internet connectivity or customer network limitations.

3.2 Third-Party Services & Meta Approval

Services utilizing third-party platforms (Meta, WhatsApp, Google, Apple, Microsoft, payment gateways) are subject to those providers' respective policies.

  • Meta Approvals: Meta Business Verification, Display Name, and Message Template approvals are solely controlled by Meta Platforms. We provide setup assistance but cannot guarantee approval timelines or outcomes.
  • Liability: We are not responsible for third-party policy changes, API changes, pricing updates, account suspensions, or service interruptions.

3.2.1 Email, SMS & WhatsApp Delivery

Delivery of emails, SMS messages, WhatsApp messages, push notifications, and other electronic communications depends on third-party providers and telecommunications networks. AiPSoft and the Selected Partner do not guarantee message delivery, delivery time, inbox placement, or customer receipt.

3.3 Software Subscription Renewal

Cloud software requires an active subscription. The customer must renew the subscription according to the selected plan or the latest pricing available at aipsoft.com. Failure to renew may result in service suspension. AiPSoft may, at its sole discretion, provide a maximum of three (3) grace extensions per calendar year, each not exceeding seven (7) days.

3.3.1 Service Availability

AiPSoft will use commercially reasonable efforts to maintain high service availability. Scheduled maintenance, emergency maintenance, software upgrades, third-party infrastructure maintenance, cloud provider interruptions, internet outages, or force majeure events may occasionally result in temporary service interruptions.

3.4 Software License

The customer is granted a limited, non-exclusive, non-transferable, and revocable license to use the software only during the active subscription period. The software license may not be transferred, assigned, shared, or resold without prior written approval from AiPSoft.

3.5 Storage Limits

Cloud storage exceeding the subscribed plan limit will be billed according to the prevailing AiPSoft pricing or the applicable proposal. Additional storage may be allocated only after payment of the applicable charges.

3.6 Mobile Application Compatibility

AiPSoft mobile applications require devices meeting the latest Google Play Store or Apple App Store requirements. We are not responsible for issues arising from unsupported or outdated devices.

4. Commercial Terms & Payments

4.1 Pricing & Taxes

Prices quoted include delivery, installation, configuration, standard implementation, and initial training unless stated otherwise. All prices are exclusive of UAE VAT, which will be charged according to Federal Tax Authority regulations.

4.2 Payment Terms

  • 60% Advance Payment upon confirmation.
  • 40% Remaining Balance upon project completion.

4.3 Validity

This proposal remains valid for 30 days from the proposal date.

4.4 Cancellation & Refund Policy

We offer a 14-day money-back guarantee on software and hardware purchases from the original purchase date, provided products are returned in original condition.

  • If implementation, customization, or training has commenced before the refund request, we reserve the right to deduct all incurred costs (travel, project management, engineering hours, etc.).
  • Refund requests made after 14 days, or for used, damaged, or customized products, are not eligible. Processing times depend on the customer's bank.

4.5 Customer Satisfaction & Refund

If the customer is genuinely dissatisfied with the software implementation or service, they may submit a written refund request within the applicable refund period. Following review and approval, any refund shall be processed after deducting: applicable implementation/training charges, customization charges, engineering costs, third-party service charges, bank charges, processing fees, and any other project-incurred costs. Refund approval is at the sole discretion of the Selected Partner.

5. Hardware, Warranty & Consumables

(A separate hardware warranty document will be provided upon device delivery.)

5.1 DOA Replacement (Dead on Arrival)

If supplied hardware develops a verified manufacturing defect within 14 calendar days of installation, the Selected Partner will replace it with a new unit. After 14 days, claims follow standard manufacturer warranty processes.

5.2 Warranty Repairs & Physical Damage

Warranty repair may take up to 30 calendar days (or longer based on parts availability). Warranties are entirely voided by physical damage, liquid/fire/electrical damage, unauthorized repairs, misuse, or accidental damage.

5.2.1 Installation Environment

Hardware supplied under this proposal must be installed and operated in a suitable environment. Damage resulting from excessive dust, moisture, water exposure, insects, rodents, excessive heat, unstable electrical supply, lightning, improper ventilation, misuse, or improper installation is not covered under warranty.

5.3 Consumables

Consumables (receipt rolls, laundry tags, thermal labels, barcodes, ribbons, ink, toner, stickers, and cleaning materials) are strictly excluded unless specifically quoted.

5.3.1 Approved Hardware

AiPSoft guarantees compatibility only with hardware supplied or approved by the Selected Partner. Compatibility with third-party hardware, peripherals, accessories, printers, scanners, or other devices is not guaranteed unless specifically confirmed in writing.

6. Support & Maintenance Contracts

6.1 Support Hours

Standard technical support is available Monday to Saturday, 08:00 AM to 06:00 PM (UAE Time) (unavailable on UAE public holidays).

  • Critical Emergency Support: Provided on a best-effort basis outside normal business hours exclusively for critical service interruptions affecting business operations (e.g., complete billing system failure, complete software outage, server outage caused by AiPSoft infrastructure).
  • Critical support does not include training requests, report modifications, feature requests, user errors, configuration changes, or customer-side hardware/network issues.
  • Response times may vary depending on issue complexity and customer cooperation.

6.2 One-Year Technical Support

The proposal includes one (1) year of technical support for the supplied software, covering online support, remote troubleshooting, bug fixes, and minor software assistance. Internet access is required.

6.2.1 Software Updates

AiPSoft may periodically release software updates, security patches, bug fixes, and feature improvements. Customers are encouraged to install or permit the installation of recommended updates. AiPSoft and the Selected Partner shall not be responsible for issues resulting from the customer's refusal or delay in applying recommended updates.

6.3 On-Site Support & Client-Side Issues

During the first year, unlimited on-site support visits are included for software or technical issues that are determined to be under the direct responsibility of the Selected Partner.

As the first priority, all support requests will initially be diagnosed and handled through online remote support whenever possible. If the issue cannot be resolved remotely, and it is determined to be a software or technical issue within the responsibility of the Selected Partner, an on-site support visit will be arranged at no additional charge.

Client-Side Issues: Issues such as paper jams, disconnected cables, Wi-Fi disconnections, router changes, IP address modifications, physical damage, hardware failures, or user misconfiguration must first be troubleshot remotely with the assistance of our support team.

For issues determined to be caused by the customer's hardware, network, local infrastructure, or user error, the customer is entitled to three (3) complimentary on-site visits per calendar year. Once these three (3) complimentary visits have been utilized, any additional on-site visit requested for customer-caused issues will be charged at up to AED 200.00 per visit.

6.4 Annual Maintenance Contract (AMC) & Device AMC

  • Software AMC: After the first year, continued support requires an AMC or active software subscription (includes updates, upgrades, bug fixes, preventive maintenance, remote support).
  • Device AMC (During Warranty): For AED 1,000 per device/year, we provide a temporary replacement device (subject to availability) while the original is under warranty repair. Temporary replacement devices are provided subject to availability and may not be identical in model, brand, or specifications but will provide equivalent functionality.
  • Device AMC (Post-Warranty): After manufacturer expiry, a Device AMC is available for AED 1,000 per device/year, covering labor, technical support, preventive maintenance, and diagnosis. Parts and consumables are extra.

Warranty covers manufacturing defects only and does not cover consumables or normal wear and tear.

7. Data, Privacy & Security

7.1 Customer Data & Privacy

All business data entered into the software remains the property of the customer. We will not sell, disclose, distribute, or share customer information except where required by law or to provide contracted services through approved third parties. Data is handled in accordance with UAE data protection regulations.

7.1.1 Customer Data Accuracy

The customer is solely responsible for the accuracy, completeness, and legality of all information entered into the software, including product information, prices, inventory, customer records, supplier details, accounting records, employee information, tax rates, and financial transactions.

7.2 Customer Account Security

The customer is solely responsible for maintaining the confidentiality of usernames, passwords, OTPs, API keys, and administrator accounts. We are not liable for unauthorized access resulting from compromised customer credentials.

7.2.1 User Access Management

The customer is responsible for assigning appropriate user roles, permissions, passwords, and access rights within the software. AiPSoft and the Selected Partner shall not be liable for unauthorized activities, data modification, deletion, or misuse performed by users who have been granted access by the customer.

7.3 Data Export Upon Subscription Termination

If the customer decides not to renew the cloud software subscription, they may request a standard data export within ten (10) calendar days from the subscription expiry date, provided all outstanding invoices are settled and the request is made in writing.

  • After 10 days, AiPSoft reserves the right to archive or permanently delete customer data.
  • The customer is responsible for downloading and verifying the exported data before permanent deletion.
  • Data is provided only in standard software-supported export formats. Custom reports, SQL dumps, or customized data extraction services are not included unless separately quoted.
  • AiPSoft does not guarantee compatibility of exported data with third-party software.

7.3.1 Customer File Responsibility

The customer is responsible for retaining copies of any original files uploaded into the system, including logos, documents, spreadsheets, images, attachments, and other media. AiPSoft is not responsible for maintaining copies of customer-uploaded files beyond the applicable data retention period.

7.4 Marketing Permission

Upon successful completion, the Selected Partner and AiPSoft may display the customer's company name and logo on their website and marketing materials. To opt-out, the customer may email support@aipsoft.com, and the logo will be removed within 14 working days.

8. General Legal Terms

8.1 Company Relationship

AiPSoft is the software product and technology platform. The Selected Partner is responsible for implementation, deployment, training, technical support, billing, and customer service under this proposal.

8.2 Intellectual Property & Confidentiality

  • Ownership: All intellectual property rights relating to AiPSoft remain the exclusive property of AiPSoft and/or its licensors. This includes source/object code, databases, application architecture, UI designs, APIs, workflows, documentation, algorithms, AI models, prompts, branding, trademarks, trade secrets, and confidential technical info. Nothing in this proposal transfers ownership to the customer. The customer receives a non-exclusive, non-transferable, revocable license to use the software during the active subscription period.
  • Confidentiality: The customer agrees not to disclose, copy, distribute, or share any confidential information, documentation, implementation methods, source code, or pricing models without prior written consent.
  • No Reverse Engineering: The customer shall not directly or indirectly reverse engineer, decompile, disassemble, modify, adapt, reproduce, clone, redistribute, resell, sub-license, attempt to discover the source code, create derivative works, or develop competing software. Unauthorized use constitutes a material breach and may result in immediate termination without refund.

8.3 Limitation of Liability & Damage Exclusion

To the maximum extent permitted by law, AiPSoft and the Selected Partner (including their directors, employees, partners, and affiliates) shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from the use of the software or services.

  • Exclusions Include: Government fines, tax/VAT calculation errors, customer accounting errors, employee mistakes, incorrect system configurations, loss of revenue/business/profit/goodwill, business interruption, data loss/corruption, Loss of customers, Loss of expected savings, Consequential commercial losses, internet/power interruptions, hardware/third-party service failures, cybersecurity incidents, or human error.
  • Responsibility: The customer remains solely responsible for verifying all transactions, reports, tax submissions, accounting records, payroll, statutory filings, and compliance with applicable laws before submission to any government authority or third party. The customer acknowledges that no software system can guarantee uninterrupted operation or be entirely error-free.

Failure by the customer to verify reports, invoices, financial records, tax calculations, or statutory submissions before use or submission.

8.4 Force Majeure

The Selected Partner shall not be liable for delays or failures to perform obligations due to events beyond reasonable control, including natural disasters, war, pandemics, cyberattacks, power/internet outages, or third-party infrastructure failures.

8.5 Governing Law & Dispute Resolution

This agreement shall be governed by the laws of the United Arab Emirates. Disputes shall first be resolved through mutual discussion; failing that, they fall under the exclusive jurisdiction of the competent courts of the UAE.

8.6 Order Confirmation

By issuing a Purchase Order (PO/LPO), making payment, or signing this proposal, the customer confirms that they have read, understood, and agreed to all terms and conditions contained in this proposal.

POs must be issued to the Selected Partner.

8.7 Entire Agreement

These Terms & Conditions, together with the proposal, quotation, purchase order, and any written amendments accepted by both parties, constitute the entire agreement between the customer and the Selected Partner regarding the products and services described herein. Any verbal commitments, representations, or assurances not expressly stated in writing shall not form part of this agreement.

8.8 Severability

If any provision of these Terms & Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
